Terms of Use Agreement

PLEASE READ THIS TERMS OF USE AGREEMENT (THE "TERMS OF USE") CAREFULLY. THIS WEBSITE AND THE SIMUVERSE MOBILE APPLICATION (THE "APPLICATION") ARE CONTROLLED BY METAG INC. (THE "COMPANY"), A DELAWARE CORPORATION. THESE TERMS GOVERN YOUR USE OF OUR HIGH-FIDELITY CAREER SIMULATIONS. BY ACCESSING THE SERVICES, PURCHASING CREDITS, OR STARTING A BATTLE, YOU REPRESENT THAT (1) YOU HAVE READ AND AGREE TO THESE TERMS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT, AND (3) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT.

IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT ACCESS OR USE THE SIMUVERSE APPLICATION OR SERVICES.

1. USE OF THE SERVICES AND COMPANY PROPERTIES

The Application, the Website, and the AI-driven simulation services (each, a "Company Property") are protected by copyright laws throughout the world.

1.1 Application License: Company grants you a limited non-exclusive, non-transferable, revocable license to use the Simuverse Application solely for your personal professional development or internal business training.

1.2 High-Fidelity Simulations: You acknowledge that the Application utilizes a proprietary "Reactive Stylized Video Engine" and "Psychometric AI" to generate content. You may need to update the Application to ensure the "Zero-Point Video Pipeline" functions with <500ms latency.

1.3 Restrictions: You shall not (a) "scrape" or crawl our "High-Stakes Stress Response Dataset"; (b) reverse engineer the "Hybrid Neuro-Visual Stack"; or (c) use the Services to create competing social physics models.

2. REGISTRATION AND CREDITS

2.1 Account Responsibility: You are responsible for all activities that occur under your Account. You must provide accurate Registration Data, including a valid email for verification.

2.2 Credits System: Simuverse operates on a transactional model where "Credits" are required to enter scenarios. Each battle or "duel" deducts a specified amount of Credits from your balance.

2.3 No Ownership in Account: You acknowledge that you have no ownership interest in your Account or your Credit balance; all rights inure to the benefit of the Company.

3. RESPONSIBILITY FOR CONTENT

3.1 Types of Content: You are entirely responsible for all text prompts or voice inputs you "Make Available" during a simulation (the "Input").

3.2 AI Interactions: You acknowledge that simulation opponents like David Ross or Elena V. are AI constructs. While the Company strives for realism, the Company is not responsible for the offensive or "crushing" nature of AI feedback provided during "Kill Shot" moments.

3.3 Monitoring: Company reserves the right, but has no obligation, to monitor Inputs and Outputs to train, enhance, and improve our AI models and content moderation tools.

4. OWNERSHIP AND AI OUTPUTS

4.1 Company Ownership: METAG INC. owns all rights to the Application, the "Kairos Engine," and the stylized visual assets.

4.2 User Inputs: You retain ownership of your specific Inputs. By providing Inputs, you grant Company a perpetual, irrevocable, worldwide license to use such Inputs to evolve our AI algorithms and social physics models.

4.3 Simulation Outputs: Company owns the generated video, audio, and psychometric reports (the "Output"). You are granted a limited license to share your performance reports and "Advice" details for personal or recruitment purposes.

5. FEES AND PURCHASE TERMS

5.1 Payment: You agree to pay all fees in accordance with the billing terms in effect. Packages are typically priced at $9.99 for 10 Credits or via a Premium Subscription at $19.99/month.

5.2 Automatic Renewal: If you subscribe to "Premium," your subscription will automatically renew at the then-current fee unless you cancel 30 days prior to the renewal date via your Workspace Settings.

5.3 Non-Refundable: Except as required by law, all Credit purchases and Service Subscription Fees are non-refundable.

6. DISCLAIMER OF WARRANTIES

YOU EXPRESSLY AGREE THAT USE OF SIMUVERSE IS AT YOUR SOLE RISK. SERVICES ARE PROVIDED "AS IS."

6.1 No Career Guarantee: Company makes no warranty that using the Application will result in a salary increase, successful VC funding, or specific career outcomes.

6.2 "Beta" Features: New "Boss" characters or experimental "Roguelike" scenarios are offered without warranty and may be modified or discontinued at our discretion.

7. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PROVIDED BY LAW, METAG INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR DATA ARISING FROM AN UNFAVORABLE SIMULATION RESULT OR ACCOUNT TERMINATION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID IN THE LAST 12 MONTHS OR (B) $500.

8. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES BINDING ARBITRATION AND WAIVES CLASS ACTION RIGHTS.

8.1 Informal Resolution: You agree to first attempt an informal resolution by contacting [email protected].
8.2 Arbitration: Any remaining dispute shall be resolved through binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules.
8.3 Class Action Waiver: You and the Company agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
8.4 Venue: Unless otherwise agreed, arbitration will take place in the county of your residence or exclusively in the state or federal courts located in the State of Delaware.
8.5 Opt-Out: You have a 30-day right to opt out of this Arbitration Agreement by sending written notice to: METAG INC., 9450 SW Gemini Dr, PMB 65412, Beaverton, Oregon 97008-7105, USA.

9. GENERAL PROVISIONS

9.1 Electronic Communications: You consent to receive all notices, disclosures, and agreements electronically.

9.2 Export Control: You represent that you are not located in a U.S. embargoed country or on a restricted party list.
